JIT4Labs Terms of Sale

These Terms of Sale ("Terms") govern the sale of reagents, consumables, instruments, and related products (collectively, "Products") by JIT4Labs ("JIT4Labs," "we," "us") to the purchaser ("Customer"). By placing an order, Customer agrees to these Terms. Any pre-printed terms on Customer's purchase order or similar document are rejected and have no effect unless expressly accepted by JIT4Labs in writing.

1. Quotes and Orders

Written quotes are valid for 30 days unless otherwise stated. Orders are binding upon JIT4Labs sales order confirmation. JIT4Labs may decline any order. Minimum order quantities and lot-rounding may apply.

2. Pricing

Prices are in U.S. dollars and exclude taxes, duties, shipping, and handling unless stated. Prices are subject to change without notice; confirmed orders at a quoted price will be honored through the quote's expiration date. Typographical errors may be corrected prior to shipment.

3. Payment Terms

Payment terms may be available for approved accounts. Accepted methods: ACH, credit card. Past-due balances accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is less. Customer is responsible for collection costs, including reasonable attorney's fees.

4. Taxes

Customer is responsible for all applicable sales, use, and excise taxes, unless a valid resale or exemption certificate is on file with JIT4Labs.

5. Shipping

JIT4Labs does not guarantee or commit to a specific delivery date for any order. However, we make every reasonable effort to process, manufacture, and ship all products as quickly as possible. Delivery times may vary depending on product availability, production schedules, shipping carriers, and other factors outside of our control; JIT4Labs is not liable for carrier delays. Customer is responsible for selecting expedited or temperature-controlled shipping when required by product characteristics or Customer's timing needs.

6. Cold-Chain and Storage

Many reagents are temperature-sensitive. Customer must inspect shipments promptly on receipt and store all Products in accordance with the manufacturer's package insert. JIT4Labs is not responsible for loss of potency, damage, or non-conformity resulting from Customer's failure to store or handle Products correctly after delivery.

7. Inspection, Shortages, and Damage Claims

Customer must inspect all shipments within 5 business days of receipt. Claims for visible damage, shortage, or incorrect shipment must be submitted in writing within that period with photos, packing slip, and lot number. Failure to notify JIT4Labs within 5 business days constitutes acceptance.

8. Order Cancelation

Customers may cancel their order within 3 business days of submitting it. After this period, JIT4Labs is considered committed to the production and fulfillment of the order, and cancellations will no longer be accepted. In the event that a product becomes unavailable, discontinued, or cannot be delivered for any reason, JIT4Labs reserves the right to cancel the order and issue an appropriate refund or notification to the customer.

9. Returns

All returns are handled in accordance with the JIT4Labs Return Policy, available at https://jit4labs.com/policies/refund-policy.

10. Availability and Substitution

Product availability is subject to manufacturer supply. JIT4Labs may partial-ship, backorder, or — with Customer's consent — substitute a comparable Product. JIT4Labs is not liable for manufacturer discontinuation or allocation.

11. Warranty

JIT4Labs passes through to Customer all manufacturer warranties applicable to the Products, to the extent assignable. EXCEPT FOR SUCH PASS-THROUGH WARRANTIES, JIT4LABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Intended Use and Regulatory Compliance

Products are sold for use by qualified laboratory professionals in accordance with the manufacturer's labeling and all applicable CLIA, FDA, and other laws and regulations. Customer is solely responsible for determining Product suitability, validating performance in its laboratory, and maintaining required licenses, permits, and CLIA certifications. Products labeled "Research Use Only" or "Investigational Use Only" may not be used for clinical diagnostic purposes.

13. Limitation of Liability

JIT4Labs' total cumulative liability arising from or related to the sale of any Product shall not exceed the purchase price paid for the specific Product giving rise to the claim. IN NO EVENT SHALL JIT4LABS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

Customer shall indemnify and hold harmless JIT4Labs, its affiliates, and their officers, employees, and agents from any claims, damages, and costs, including reasonable attorney's fees, arising out of Customer's misuse of Products, breach of these Terms, or violation of applicable law.

15. Export Controls

Products may be subject to U.S. export control laws. Customer shall not export, re-export, or divert Products in violation of applicable law.

16. Force Majeure

Neither party is liable for delay or failure to perform, other than payment, due to events beyond its reasonable control, including acts of God, war, labor disputes, supplier shortages, pandemic, government action, or transportation delays.

17. Confidentiality

Pricing, quotes, and non-public information exchanged between the parties are confidential and may not be disclosed to third parties without written consent.

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state or federal courts located in Orange County, California, and each party consents to personal jurisdiction there.
